Terms of Service

These Terms of Service govern your use of Amendly (amendly.eu), a collaborative amendment management platform operated by athcode. By creating an account or using the platform you agree to these terms.

1. Acceptance of terms

By accessing or using Amendly you confirm that you are at least 18 years old, have the authority to bind the organisation you represent, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the platform.

2. Description of service

Amendly provides a web-based tool that allows organisations to collect, review, and consolidate textual amendments. The service is provided on a subscription basis (Solo, Team, and Organisation plans) as described on our pricing page. Each plan defines limits on the number of active documents and external contributors. If these limits are exceeded following a plan downgrade, access to excess documents is suspended until the situation is resolved, without deletion of data.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorised use. We reserve the right to suspend accounts that violate these terms.

4. Acceptable use

You agree not to use Amendly to upload unlawful, defamatory, or infringing content; to attempt to gain unauthorised access to our systems; to resell or sublicence the service without written permission; or to interfere with the integrity or performance of the platform.

5. Intellectual property

All content you upload remains yours. You grant Amendly a limited licence to store and process it solely to provide the service. Amendly's own software, design, and branding remain the exclusive property of athcode.

6. Billing and payments

Pro plan subscriptions are billed monthly via Stripe. All prices are in euros and exclude applicable taxes. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods.

7. Limitation of liability

To the extent permitted by law, Amendly is not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Governing law

These terms are governed by the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France.

9. Changes to these terms

We may update these terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the revised terms.

10. Roles and responsibilities within organisations

Each workspace has an owner who may appoint admins and members. The owner is responsible for configuring their workspace, inviting members, and ensuring all users comply with these Terms. If the sole owner deletes their account, ownership is automatically transferred to another member if one is available; otherwise the organisation is deactivated. Deleting an organisation permanently and irreversibly deletes all its documents, amendments, and activity logs.

11. Public-link contributions

Owners and admins may generate a public contribution link allowing external parties without an Amendly account to submit amendments. Organisations enabling this feature agree to inform their contributors about the processing of their personal data (optional name and email address) in accordance with GDPR, either through their own privacy notice or at the point of submission. Amendly collects this data on behalf of the client organisation, which acts as data controller.

12. Amendly as a data processor

When you use Amendly to process personal data of your organisation's members or third-party contributors, you act as data controller under GDPR. Amendly acts as data processor under Article 28 GDPR. Our Data Processing Agreement (DPA), accessible at amendly.eu/legal/dpa, is incorporated by reference into these Terms and applies to all processing carried out by Amendly on your behalf.
